Terms of Service

Welcome to Ventuurs. These Terms of Service ("Terms") are an agreement between you and Ventuurs Co. and govern your use of our website at ventuurs.com and the Ventuurs iOS application (together, the "Service"). By using Ventuurs, you agree to these Terms. If you don't agree, please don't use the Service.

1. Who we are

The Service is provided by Ventuurs Co., a Delaware corporation based in Austin, Texas ("Ventuurs," "we," "us"). You can reach us at contact@ventuurs.com.

2. Eligibility

You must be at least 13 years old to use Ventuurs. If you're under 18, you confirm that a parent or guardian has reviewed and accepted these Terms on your behalf.

Some places and perks on Ventuurs, such as bars, casinos and alcohol offers, are only for people of legal age. We use the birth date on your account to hide them from users who are under that age.

3. Your account

You're responsible for keeping your login credentials secure and for everything that happens under your account. If you suspect unauthorized access, let us know right away.

4. User content

You retain ownership of the photos, reviews, lists, and other content you post to Ventuurs. By posting it, you grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute it through the Service. This license ends when you delete your content, except for copies already shared with other users.

The Ventuurs name, logo, app design, and all original content provided by us are owned by Ventuurs and protected by copyright, trademark, and other laws. You may not use them without our written permission.

7. Third-party content

Ventuurs may surface information about places, businesses, and events from third-party sources or other users. We don't guarantee the accuracy of that information. Always use your best judgment and check with the venue before relying on hours, availability, or pricing.

Some place details and photos on Ventuurs come from Google and are shown under Google\'s terms, with credit to Google and to photographers where required. If you believe something on Ventuurs uses your content without permission, email contact@ventuurs.com and we will review it and remove it if needed.

8. Ventuurs Partner Terms

These Partner Terms apply when a business subscribes to Ventuurs Partner. By subscribing, you agree to these Terms in full, and you confirm you have the authority to sign up the business.

8.1 Plans and prices. Ventuurs Partner is offered at $99 per month or $990 per year. The Founding Partner rate of $49 per month or $490 per year is limited to the first 25 qualifying businesses in each city area. All prices are in U.S. dollars and exclude sales tax, which is added at checkout where required.

City areas. Founding spots are counted by city area. A city area is a major city together with the surrounding towns in its metro area. A town outside any major city's metro area is its own city area. Ventuurs decides which city area a business belongs to, and that area is shown at checkout before payment.

Qualifying businesses. Ventuurs Partner exists to give locally owned businesses exposure and support. A qualifying business is locally owned, has a physical location customers can visit, and has no more than 5 locations. Franchise locations of any brand, chains with more than 5 locations, and online-only businesses do not qualify. We do not accept smoke, vape or tobacco shops, cannabis or THC dispensaries, adult or sexually oriented businesses, or any business we decide does not fit the values of Ventuurs. Hookah lounges, cigar bars, liquor stores and casinos may qualify. Each location has its own listing and its own subscription, and each is billed separately. Only one location per business can take a founding spot, if one is still available in its city area. The business's other locations pay standard prices. We decide whether a business qualifies. If we decide it does not, we refund any payment in full.

8.2 Billing and renewal. Subscriptions renew automatically at the end of each term using the payment method on file. Monthly plans renew every month, annual plans renew every year. You can cancel renewal at any time.

8.3 Payment method. Payments are processed by Stripe. You authorize us to charge the payment method you provide for your subscription and for any applicable taxes.

8.4 Failed payments. If a payment fails, we may retry it and notify you. If payment is not received, we may pause your listing until payment is made. Your subscription may be canceled for continued non-payment.

8.5 Price changes. Standard prices may change over time. We will give at least 30 days' notice before applying a new price to your renewal. The Founding Partner rate is locked for 24 months from the first payment, as described in 8.1 and the Founding spot program.

8.6 Taxes. Prices do not include sales, use, VAT, or similar taxes. We collect taxes where required by law. Stripe calculates the exact amount at checkout from the billing address you provide.

8.7 Cancellation. You can cancel renewal at any time from your account or by emailing support@ventuurs.com. Cancellation stops future renewals. Your listing remains active until the end of the term you already paid for, except where section 8.8 or 8.15 applies.

8.8 14-day money-back guarantee and refunds. The money-back guarantee applies to annual plans only. Monthly plans are non-refundable from the first payment. On an annual plan, if you ask for a refund by email within 14 days of your first payment, or within 14 days of your listing going live if that is later, we will refund your first annual payment in full. This guarantee applies once per business and only to the first annual payment, not to renewals. A refunded Founding Partner gives up its founding spot. Outside this guarantee, all payments are final and non-refundable, including renewals, partial periods and unused time, except as stated in section 8.15.

8.9 Ambassador codes. Ventuurs Ambassadors are independent people and businesses who introduce local businesses to Ventuurs. A valid Ambassador code takes 10% off a Standard plan: the first annual payment on an annual plan, or the first 12 monthly payments on a monthly plan. After that, standard pricing applies. If you switch from monthly to annual during your first 12 months, your annual plan starts a new 12-month term from the switch, the 10% applies to your first annual payment, and the remaining monthly discount ends. There is no proration or credit for the monthly period you have already paid. Codes cannot be combined with the Founding Partner rate, but if an Ambassador referred you, please still enter their code at checkout so they are credited. The discount must be applied at checkout and cannot be added afterward. We may expire or withdraw a code at any time, but a code already applied at checkout is honored as described here. Ambassadors earn a commission when a business subscribes with their code, and they are required to tell you so before you sign up. They cannot take payment, set prices, change these Terms or make promises on our behalf. Only these Terms and the pricing published on ventuurs.com/partners apply to your subscription.

8.10 What we don't promise. A Ventuurs Partner listing gets your business a profile that we build and keep current, placement in the categories that fit it, a periodic performance summary, and a digital Ventuurs Partner sign you can print yourself. We don't guarantee any level of views, saves, visits, customers, or revenue. Where and how listings appear is at our discretion and may change as the app develops. Ventuurs Partners may appear in a dedicated Partners section and receive priority in guides, lists and itineraries, but we include a business only when we believe it fits. Wherever a Partner appears, it is marked with a Partner badge so users can tell it apart.

8.11 Your listing information. You provide the details, photos, and logos for your listing, and you confirm you have the right to let us use them. You can ask us to change your listing at any time. We may edit for length, clarity, or accuracy, and we may decline anything that breaks section 5. If you ask us to use photos from your website or social media, you confirm you own them or have permission to use them, and you allow us to display them on Ventuurs and in our promotion of your listing.

8.12 Partner perks. You will offer at least one Partner Perk while your subscription is active. You choose the perk and its conditions, and you may change it by telling us, and we will update your listing. The perk is your offer to your customers. You are solely responsible for honoring it as described, for training staff to recognize it, and for making sure it complies with all laws that apply to your business, including laws on alcohol promotions, pricing and age restrictions. Ventuurs is not a party to the offer.

8.13 Launch timing. Billing begins when you subscribe, and the Founding Partner rate lock runs from that same date. We aim to publish your listing within 7 days of receiving your details. On an annual plan, if your listing is not live yet, your 14-day money-back window under section 8.8 starts the day it goes live.

8.14 Suspension for breach. We may pause or remove your listing without notice if we believe you are in material breach of these Terms, misusing the Service, or harming other users. Where practical we will tell you why and give you a chance to fix it.

8.15 Termination for cause. We may terminate your subscription for repeated or uncured breach of these Terms, for non-payment, or because the business or category no longer fits Ventuurs. If we terminate for a reason that is not your fault (for example, we discontinue the category in your area), we refund the unused portion of your term on a pro-rata basis.

9. Disclaimers

The Service is provided "as is" and "as available". We don't promise the Service will be uninterrupted, error-free, or secure. We make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Ventuurs and its officers, employees, and affiliates won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising out of these Terms or the Service is capped at the amount you paid us in the 12 months before the claim arose, or one hundred U.S. dollars ($100), whichever is greater. If you've used Ventuurs for free, that cap is one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend and hold Ventuurs harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your content, your use of the Service, or your violation of these Terms.

12. Termination

You can stop using Ventuurs at any time by deleting your account. We may suspend or terminate your access if you violate these Terms or use the Service in a way that harms us or other users. Sections that by their nature should survive termination (like ownership, disclaimers, and liability limits) will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any disputes will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Continued use of Ventuurs after changes means you accept the new Terms.

15. Severability

If any part of these Terms is held to be invalid or unenforceable, the rest will remain in full effect.
